About Us

Secondary Advisors is an advisory firm focused on the Private Equity market. We are a liquidity provider for institutions, family offices and HNW individuals who are considering the sale of privately held assets and companies. We implement transactions alongside institutional or family office investors.  

We strive to support all stakeholders in any given deal in order to maximize transaction value, while facilitating an efficient closing process. We advise both investors and sellers on elements such as deal structure, localization of proper counterparty, counterparty risk and closing procedures.

We act as an advisor in transactions ranging from EUR 1 million to EUR 500 million. Privacy is of the highest importance to us and we never disclose any information regarding transactions or contacts. Our office is located in Madrid, Spain.

Oeistein Helle, CFA

Founder

Oeistein has more than 12 years of corporate finance and private equity experience. Prior to founding Secondary Advisors he lead the advisory efforts at Intrinsic AI (Oslo) and the institutional secondary advisory efforts at Castelar Corporate Finance (Oslo). He also encompass corporate finance experience from DnB Markets shipping and offshore team (Bergen) and buy-side experience from Argentum Private Equity as part of the secondary team (Bergen). Oeistein holds a Master in Advanced Finance from IE Business School (Madrid) and a Bachelor of Arts in Business and Administration from Flagler College (St. Augustine). Oeistein is a CFA charterholder.

FUND RESTRUCTURING

Often when a fund is close to maturing the GP and LP’s alike are in need of some sort of liquidity solution. There are as many solutions as there are fund restructuring situations. The most important factors are that the GP is able to raise fresh capital and that the LP’s are provided with liquidity or are given an option to reinvest

TRADITIONAL

More often than not Private Equity sellers are looking for immediate liquidity in order to rebalance their portfolios. In such cases the seller will receive cash payment in full for the given asset up-front

PROFIT SPLIT

In exchange for a lower up-front cash price the buyer is willing to share the given investment’s upside potential with the seller. Such deal structures are a good fit for sellers wanting to decrease their overall risk exposure while keeping some of the upside potential

DEFERRED PAYMENT

In exchange for a higher price the seller is willing to receive part of the cash payment up front and part of the cash payment at one or several later dates. Such deal structures are a good fit for sellers emphasizing the absolute cash price received for the sold asset
